Terms & Conditions — SpendGuard

These Terms & Conditions ("Terms") govern your use of the SpendGuard Shopify app ("SpendGuard," "the Service," "we," "us," or "our") operated by Saanvi Apps ("Saanvi Apps," "we," "us"). By installing or using SpendGuard, you agree to these Terms.

1) Service Description

SpendGuard is an automation service that monitors your Shopify inventory levels and automatically pauses or resumes selected ads based on merchant-configured rules (guards). The Service operates based on rules you configure, including:

  • Selection of Google Ads accounts and ads to monitor
  • Selection of products to monitor
  • Inventory thresholds:
    • Products: Pause when total available inventory (across variants) is ≤ X, resume when ≥ Y
  • Pause mode (when monitoring multiple products): pause when ANY selected product is low (default) or when ALL selected products are low
  • Resume rule: Resume only when ALL selected products meet the threshold
  • Cooldown periods and other safety settings

SpendGuard executes actions (pause/resume) based solely on your configuration and inventory data from Shopify. Products use real-time webhooks.

2) No Guarantees

SpendGuard operates based on inventory data from Shopify and ad management via Google Ads API. We do not guarantee:

  • Immediate action: There may be delays in inventory webhook delivery from Shopify (for products), API response times from Google Ads, or processing delays on our end. Ad status changes may take several minutes to reflect in Google Ads.
  • Inventory accuracy: We rely on Shopify's inventory data. If Shopify's inventory is out of sync, delayed, or inaccurate, SpendGuard will act on that data accordingly.
  • Ad platform availability: If Google Ads API is unavailable or rate-limited, actions may be delayed or fail.
  • Specific cost savings: While SpendGuard is designed to reduce ad spend on out-of-stock products, actual savings depend on many factors including your ad spend, inventory patterns, and campaign performance.

You use SpendGuard at your own risk. We provide the Service "as is" without warranties of any kind.

3) Merchant Responsibilities

You are responsible for:

  • Selecting ads: You choose which ads SpendGuard monitors. SpendGuard only acts on ads you explicitly select in a guard configuration.
  • Configuring guards correctly: You must set appropriate inventory thresholds and rules. SpendGuard executes based on your configuration. Remember: products use total inventory across variants, not per-variant thresholds.
  • Monitoring your ad account: While SpendGuard provides audit logs, you should regularly review your Google Ads account to ensure ads are behaving as expected.
  • Using safety features: You can use kill switches and disable guards at any time. You are responsible for using these features appropriately.
  • Maintaining API access: You must maintain valid OAuth tokens for Shopify and Google Ads. If tokens expire or are revoked, SpendGuard will stop functioning until you reconnect.

4) Billing

Billing for SpendGuard is handled via Shopify's billing system. Charges, refunds, and payment processing follow Shopify's billing rules and terms. We do not process payments directly.

Subscription fees are charged according to the pricing plan you select in the Shopify App Store. You can cancel your subscription at any time through your Shopify admin, which will stop future charges but will not refund charges already made.

5) Limitation of Liability

To the maximum extent permitted by law:

  • Saanvi Apps will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost ad spend.
  • Our total liability for any claim related to SpendGuard will not exceed the amount you paid us for the Service in the 12 months preceding the claim (or USD $100 if no fees were paid).
  • We are not responsible for:
    • Delays or failures in Shopify inventory updates
    • Delays or failures in Google Ads API responses
    • Incorrect guard configurations you create
    • Ad spend that occurs due to delays, misconfigurations, or platform issues
    • Any actions taken on ads you did not explicitly select

6) Termination and Uninstall

You may uninstall SpendGuard at any time through your Shopify admin. Upon uninstall:

  • OAuth tokens are deleted from our systems and access ceases
  • Guard configurations are deleted
  • SpendGuard stops monitoring and taking actions
  • Ads remain in their current state (we do not automatically resume paused ads)

We may suspend or terminate your access to SpendGuard if you violate these Terms, misuse the Service, or if required by law or platform policies.

7) Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective date" above. Continued use of SpendGuard after changes constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must uninstall SpendGuard.

8) Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of SpendGuard will be resolved in the courts of India, unless otherwise required by applicable law.
